Terms of Service

1. Acceptance

By using instila.net or requesting access to Instila, you agree to these terms. "Instila" refers to both the company and the product. Using the product itself is additionally governed by the service agreement presented when your workspace is created; where that agreement differs from these terms, it governs your use of the product. If you are acting on behalf of a company, you represent that you have authority to bind it.

2. What Instila provides

Instila is an AI chief of staff for software companies. It reads the tools you connect, builds a memory of how your company works, and prepares work for your approval. This website describes the product and lets you request early access. The product is in active development, so availability, features, and pricing may change over time.

We do not guarantee that the site or the product will be available at any particular time, or that either will meet your expectations. Descriptions of capabilities still in development are not commitments to build or ship them.

3. Early access and communications

When you request early access, we email you about that product and its launch. We only email you about what you asked for. You can opt out of these emails at any time, and requesting access does not obligate you to buy anything.

4. Acceptable use

You agree not to:

  • Use the site for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to reverse-engineer, scrape, or abuse the site or its underlying AI models.
  • Probe, circumvent, or interfere with any access controls or security measures.
  • Impersonate another person or misrepresent your affiliation.

We may restrict or suspend access without notice where necessary to protect the site, a product, or other users.

5. Connected tools

Instila only reads the tools, channels, repositories and projects you explicitly connect, and only with the permissions you grant. You are responsible for having the authority to connect them. Instila prepares work for your approval and does not send, file, merge or publish anything on your behalf without it. You can disconnect any tool at any time.

This website does not process payments. Billing, when it applies, is covered by the service agreement for your workspace.

6. Intellectual property

Instila's software, design, documentation, and brand are our property. Any content you submit to us remains yours. Nothing in these terms transfers intellectual property between you and us.

7. Disclaimer of warranties

The site is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by applicable law, Instila's total liability to you for any claims arising from or related to these terms or the site is limited to the amount you paid to Instila in the twelve months preceding the claim. In no event will Instila be liable for indirect, incidental, special, consequential, or punitive damages.

9. Termination

You may stop using the site at any time. We may suspend or terminate your access if you violate these terms, if required by law, or if we discontinue the site or a product.

10. Changes to these terms

We may update these terms from time to time. The effective date at the top of this page reflects the current version, and your continued use of the site after that date constitutes acceptance of the updated terms.

11. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these terms will be resolved in the courts of Toronto, Ontario, unless we both agree to an alternative process.
